The Securities and Exchange Board of India (SEBI) has agreed in-principle to the terms of settlement on applications by the National Stock Exchange of India (NSE) in the colocation (colo) and dark-fibre matters, clearing all legal and governance related concerns ahead of its initial public offering (IPO).
“SEBI vide email dated July 30, 2026 has in principle agreed to accept the terms of the settlement and has made a demand of Rs 714.74 crore, in addition to the deposit of Rs 776.47 crore made by NSE with SEBI, which will be adjusted towards the settlement amount of Rs 1,491.21 crore,” according to the stock exchange’s financial results document.
The exchange’s board, in its meeting on Thursday, approved the payment of the additional amount.
The stock exchange had made a provision of Rs 1,391.21 crore for the year ended March 2026 for the two settlement applications filed in June 2025 for both the cases. This was in addition to the Rs 100 crore penalty imposed by the Securities Appellate Tribunal (SAT) in the colocation order, which has already been adjusted against the amount deposited by NSE with SEBI during 2022–23.
The cases pertain to allegations that certain stockbrokers gained preferential server access, and unused optical fibre network connectivity for select trading members at NSE between 2015 and 2016.
For the quarter ended June 2026, the exchange’s consolidated net profit rose to Rs 3,120 crore, up from Rs 2,923.85 crore a year ago.
NSE’s revenue from operations increased to Rs 4,560 crore during the quarter, up from Rs 4,032 crore in the year ago period. However, its revenue has declined by 8 per cent sequentially.
The stock exchange filed its draft herring prospectus with SEBI last month for an offer for sale comprising up to 14.89 crore equity shares of face value ₹1 each or nearly 6 per cent of NSE’s paid-up capital, with no fresh issue component.The IPO size is expected to be over Rs 30,000 crore, making it one of the largest public offers the country.
